Non-Disclosure Agreements (NDAs) are a critical tool for protecting confidential business information in the UAE. They are enforceable under UAE Civil Code, with DIFC and ADGM courts offering particularly strong enforcement through common law principles.

The key to a strong NDA is balance: it must be specific enough to clearly define what is protected, but reasonable enough that a court will enforce it. Overly broad NDAs that try to cover "everything" often fail because courts view them as unreasonable restraints.

Penalty clauses in NDAs are subject to judicial review under Article 390 of the UAE Civil Code. Courts can reduce liquidated damages that are disproportionate to the actual harm caused. This makes it important to set penalty amounts that reflect genuine commercial loss rather than punitive figures.
